AFFILIATE CORPORATIONS BOARDS OF DIRECTORS

Whereas, The composition of subsidiary boards of directors has been adjusted in recent years to permit one-third (1/3) of those boards of directors to be non-Wesleyan ( Disc. 4320:4);

Whereas, The composition of boards of trustees of Wesleyan educational institutions has been adjusted in recent years to permit one-third (1/3) of those boards of trustees to be non-Wesleyan (General Board Policy GBP-2244:2); and

Whereas, It seems prudent to bring affiliate corporations into line with recent practice of opening boards of directors to inclusion of non-Wesleyan members;

Resolved, That Discipline 4350:4 be amended by striking the words "members of the board of directors and," "with the exception of elementary and secondary educational institutions which are affiliate corporations to Wesleyan churches or districts," "In such instances the schools" and "20 percent" as shown, and by inserting new language as indicated in bold face type:

(4) All members of the board of directors and principal officers of the affiliate corporation shall be covenant members or ministers of The Wesleyan Church with the exception of elementary and secondary educational institutions which are affiliate corporations to Wesleyan churches or districts. In such instances the schools The affiliate corporation's bylaws (4350:2) may provide for up to 20 percent one-third (1/3) of the board of directors to be believers from outside the sponsoring Wesleyan community.
